1. Preamble & Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you or the corporate entity you represent ("Client", "Enterprise", or "You") and Mantorius ACCA & CPA Practice ("Mantorius", "We", "Us", or "Practice"), headed by senior partner Keshav Verma.
By accessing https://mantorius.com, requesting preliminary financial consultations, executing an engagement letter, or utilizing our 12 specialized accounting, tax, and backoffice services, you unreservedly agree to be bound by these Terms and our companion Privacy Policy.
2. Scope of Professional Advisory & Engagement Letters
Mantorius provides corporate accounting, management reporting, software deployment, bookkeeping, period-end closure, payroll, and fractional CFO advisory under formal professional standards.
- Specific Scope Governed by Engagement Letters: Each operational project or monthly retainer is defined by a written Letter of Engagement (LoE) specifying deliverables, schedules, software platforms (e.g. QuickBooks, Xero, Sage, NetSuite), and fee arrangements.
- Advisory & Software Scope: Advisory, ratio analysis, custom financial software, and fractional CFO engagements constitute strategic financial consulting and software solutions, delivering verified ledger schedules for client management, boards, and corporate stakeholders.
- Independence & Integrity: We strictly adhere to ACCA & CPA objectivity standards and reserve the right to recuse ourselves from any engagement where an insurmountable conflict of interest arises.
3. Client Representations & Document Veracity
The precision and validity of our financial statements, reconciliations, tax computations, and board dashboards depend directly upon the integrity of the records you provide. You warrant and covenant that:
- All books, bank account statements, receipts, contracts, inventory schedules, and source documents submitted to Mantorius are genuine, unadulterated, and complete.
- All transactions recorded in your books reflect bona fide commercial activities complying with local taxation, corporate governance, and employment regulations.
- Your authorized officers will respond to queries, reconcile unexplained variances, and authorize journal entries within agreed accounting closure timeframes.
Fiduciary Disclaimer:
Mantorius is not responsible for penalties, statutory fines, or interest assessed by tax authorities (such as CBDT, HMRC, IRS) arising directly from inaccurate source data, concealed accounts, or tardy document delivery by the Client.
4. Anti-Money Laundering (AML) & KYC Verification
In strict compliance with the Prevention of Money Laundering Act (PMLA - India), the UK Money Laundering Regulations, and international Financial Action Task Force (FATF) standards, Mantorius maintains mandatory client onboarding protocols:
- Verification of Ultimate Beneficial Ownership (UBO) for all corporate entities prior to commencing retainer services.
- Mandatory collection of statutory director credentials (PAN, Aadhaar, Passport, Proof of Residential Address).
- Right to immediately suspend services and fulfill statutory reporting obligations should suspected fraudulent or illicit transactions be uncovered.
5. Intellectual Property & Workpapers
Ownership of data, methodologies, and deliverables is delineated as follows:
- Client Ownership: You retain complete, unencumbered ownership of all source records, bank statements, general ledgers, final delivered financial statements, and executive KPI reports.
- Practice Workpapers: Mantorius retains exclusive ownership of internal proprietary workpapers, review checklists, custom financial forecasting algorithms, and analytical spreadsheet models developed during the engagement.
6. Fees, Retainers, Billing & Disimbursements
Professional fees are structured on fixed-monthly retainers, milestone deliverables, or pre-approved hourly advisory rates:
- Retainer Terms: Monthly accounting and fractional CFO retainers are billed in advance on the 1st day of each calendar month and payable within 10 calendar days.
- Late Settlements: Invoices outstanding past 30 days shall accrue commercial interest at 1.5% per month or the maximum permissible statutory rate, whichever is lower.
- Third-Party Software: SaaS subscription charges (QuickBooks Online, Xero, Sage, Gusto, Dext) are the direct responsibility of the Client unless explicitly bundled within an enterprise retainer.
7. Confidentiality, Secrecy & Data Security
Both parties covenant to maintain absolute secrecy regarding proprietary technology, commercial plans, pricing, trade secrets, and financial health disclosed during the engagement:
- Mantorius enforces strict non-disclosure obligations upon all partners, senior accountants, and junior review staff.
- All client communications and financial document exchanges are executed through encrypted conduits, secure cloud vaults, or password-protected archives.
- Confidentiality obligations survive indefinitely following termination of the professional relationship.
8. Limitation of Liability & Consequential Damages
To the maximum extent permitted by applicable statutory law:
- Aggregate Liability Cap: In no event shall the total cumulative liability of Mantorius, its partners (including Keshav Verma), directors, employees, or associates for any claim, whether in contract, tort (including negligence), or statutory breach, exceed the total professional fees actually paid by the Client to Mantorius in the preceding three (3) months for the specific service giving rise to the claim.
- Exclusion of Consequential Losses: Under no circumstances shall Mantorius be liable for loss of profits, commercial opportunities, goodwill, anticipated tax savings, business interruption, or indirect/consequential damages.
